Momenta, the Hong Kong‑listed developer of physical AI for driving, has agreed with SAIC Motor and SAIC‑controlled Yandian Technology to form a joint venture focused on higher‑level driver assistance systems for passenger cars.
Deal details and ownership
The parties said the new company will have registered capital of RMB300 million. Momenta’s wholly owned unit Momenta (Suzhou) will subscribe RMB153 million for a 51% stake, SAIC will take 25% with a RMB75 million subscription, and Yandian will hold 24% with RMB72 million. The arrangement was disclosed in company announcements this week.
Scope: L2 and L3 intelligent driving
According to the announcements, the joint venture’s remit covers development of higher‑level intelligent driving products and services — explicitly citing L2 (combined driving assistance) and L3 (conditioned automated driving) functions — for SAIC’s global vehicle platforms. Momenta described the move as a step to deepen cooperation across all vehicle platforms and markets.
What this means for the market
The deal signals another example of Chinese OEMs and autonomy specialists integrating AI stacks more tightly with vehiclemakers’ platforms rather than relying solely on third‑party Tier‑1 suppliers. For European carmakers and suppliers watching China’s rapid roll‑out of advanced driver assistance, the JV is likely to accelerate Momenta’s product maturity and scale — outcomes that could shape export‑ready ADAS offerings and competition on software and services.
For Central and Eastern Europe, where many global carmakers source components and software, the new joint venture underlines two trends: automakers increasing in‑house or closely partnered software development, and the emergence of China‑origin ADAS suppliers that aim to serve global vehicle lines. European suppliers and OEMs may face faster product roadmaps from Chinese ADAS firms that already have strong domestic OEM ties.
The joint venture is structured as a majority‑owned Momenta company, and announcements note that the transaction is below relevant disclosure thresholds under Hong Kong listing rules; the firms did not disclose a public timetable for product launches or the JV’s headquarters and operational footprint.
Momenta has already been building commercial relationships with a range of vehiclemakers and has marketed its “world model” physical AI approach across passenger and commercial vehicle use cases; the SAIC tie-up is likely to give the company closer access to an OEM’s platform engineering and validation resources.
